By signing above, I agree to pay a fee for the services provided hereunder by Small Biz Heroes, LLC for securing, and or facilitating funding for the business listed (the "Capital Advisory Fee"). The Capital Advisory Fee is assessed on the full secured facility amount for credit lines and the actual funded contract amount for all other loans or advance products calculated in dollars at the % shown on the above schedule. The parties agree that the Capital Advisory Fee represents the fair market value of the services provided by Small Biz Heroes, LLC and is a one time transaction to be processed after funding is completed and not a recurring fee. The Capital Advisory Fee is charged by and payable to Small Biz Heroes, LLC and is debited separately from, and in addition to, any origination fees, closing costs, or other charges assessed by the lender or funder, once funding is completed. Products offered consist of term loans, lines of credit, equipment financing, commercial mortgages, invoice factoring, SBA loans, business cash advance & more. If funding is not completed for any reason, said fee will not be processed.

Non-Circumvention. In consideration of the introductions, advisory services, and lender relationships provided by Small Biz Heroes, LLC, you agree that, for a period of twelve (12) months following the date of this Addendum (the "Verification Period"), you will not, directly or indirectly, solicit, negotiate with, or accept funding from any lender, funder, or capital source first introduced to you by Small Biz Heroes, LLC (each, an "Introduced Lender") other than through Small Biz Heroes, LLC. If you obtain funding from an Introduced Lender during the Verification Period, whether directly or through another intermediary, the Capital Advisory Fee shall be due and payable to Small Biz Heroes, LLC on the full amount funded, calculated per the schedule above, as if such funding had been facilitated by Small Biz Heroes, LLC, and you authorize Small Biz Heroes, LLC to debit such fee pursuant to the ACH Authorization below. Small Biz Heroes, LLC retains the right to review your business and consumer credit reports during the Verification Period to verify compliance with this provision, and the authorization granted in the Application for Business Funding extends to such reviews. This provision survives the completion of any Transaction and the termination of this Addendum.

By signing below, I, the undersigned authorized signer on the bank account identified above (the "Account"), authorize Small Biz Heroes, LLC ("SBH") to initiate a one-time ACH debit entry to the Account in the amount of the Capital Advisory Fee calculated under the schedule set forth in this Service Addendum, including any Capital Advisory Fee that becomes due under the Non-Circumvention provision above. This debit is separate from, and in addition to, any origination fees or other charges assessed by the lender or funder, and will be initiated only after funding is completed; no fee will be debited if funding is not completed. I certify that the Account is a business account, that I am authorized to sign on the Account, and that this authorization is granted on behalf of the account holder. If the debit entry is returned unpaid for insufficient funds or any other reason, I authorize SBH to re-initiate the entry up to two (2) additional times as permitted by NACHA Operating Rules. This authorization remains in full force and effect until the Capital Advisory Fee has been processed in full, or until SBH receives written notice of revocation at info@smallbizheroes.com at least three (3) business days before the scheduled debit date, in such time and manner as to afford SBH a reasonable opportunity to act on it. Revocation of this ACH authorization does not relieve the undersigned or the business of the obligation to pay the Capital Advisory Fee owed under this Addendum by other means. I acknowledge that ACH transactions to the Account must comply with the provisions of U.S. law.
